Welcome to the website of the National Cord Blood Network (NCBN). These Terms and Conditions of Use ("Terms") set forth a legally binding agreement between you and NCBN and govern your use of our website https://www.cordbloodnetwork.org/, (the "Site"). By accessing or using our Site, you agree to comply with and be bound by these Terms. Please review them carefully. If you do not agree to these Terms, you should not use or access this Site.

1. Acceptance of Terms

By using or accessing the Site and its Content (as defined below), you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy.

2. Purpose of Website

The NCBN website is intended to provide:

• Information about NCBN and its mission
• Access to research publications, news, and updates
• An events calendar of awareness days, conferences, and activities
• Information for potential partners and members
• A secure portal for members to access restricted documents and videos

Health information on the Site is provided by NCBN for informational purposes only and not for patient-specific purposes, such as diagnosis or treatment. 3. Eligibility

You must be at least 18 years old to use the website's member portal and services, unless under the direct supervision of a Principal Investigator sponsor and with supervision of a parent or guardian. Users under 18 may access public resources under the supervision of a parent or guardian.

4. User Accounts

Some sections of the Site are available only to registered members or partners. When creating an account, you agree to:

• Provide accurate and complete information
• Keep your login credentials secure and confidential
• Notify NCBN immediately if you suspect unauthorized use of your account

NCBN may suspend or terminate the availability of the Site, in whole or in part, to any individual user or all users, for any reason, in NCBN's sole discretion, and without advance notice or liability. Upon suspension or termination of your access to the Site, or upon other notice from NCBN, all rights granted to you under these Terms will cease immediately, and you must immediately discontinue use of the Site. The limitations of liability and governing law provided in these Terms survive any termination.

All rights, title, and interest in and to the Site and the Content is the property of NCBN, our licensors, or certain other third parties, and is protected by U.S. and international copyright, trademark, trade dress, patent, and/or other intellectual property and unfair competition rights and laws, to the fullest extent possible.

Subject to your strict compliance with these Terms, NCBN grants you a limited, non-exclusive, revocable, non-assignable, a non-transferable license to access, download, and use the Site, and retain one copy of the Content as it is displayed to you in each case for your own personal, educational, informational, or other non-commercial uses. The foregoing limited license (i) does not give you any ownership of, or any other intellectual property interest in, the Site or any Content; and (ii) may be immediately suspended or terminated for any reason, in NCBN's sole discretion, and without advance notice or liability. You agree that NCBN shall have a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and non-exclusive right and license to translate, reproduce, sell, publish, distribute, modify, adapt, display, perform, promote, link to, or use, in any form or media, any User Material that you submit to NCBN.

NCBN is not responsible for the content, accuracy, or practices of external sites or events hosted by third parties. 14. Changes to Terms

NCBN reserves the right to update or modify these Terms at any time. We will indicate any changes by revising the "Last Updated" date at the top of the Terms. All changes are effective immediately when we post them, and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.

15. Governing Law

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in Kent County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
